Beneficial Ownership Register

The new e-service of data entry in the Beneficial Ownership Register enables authorized persons to enter data in the Registry, and the Access option provides the public with free access to data on natural persons who own a specific legal entity which is obligated to enter its data in the Registry

Data entry in the Registry of Beneficial Owners

The service enables authorized persons to enter their data in the Beneficial Ownership Register, a central electronic database containing data on natural persons who are beneficial owners of legal entities established in the territory of the Republic of Croatia.
 
A beneficial owner is any natural person (persons) controlling a legal entity through ownership of shares, business stakes or voting rights, or any natural person (persons) with a controlling position in the management of assets through other means.
 
The Act on the Prevention of Money Laundering and Terrorist Financing (the Act) provides for the obligation of:

• companies,
• branches of foreign companies,
• associations,
• foundations,
• institutions,
• and trusts and trust-equivalent entities under foreign law (if the trust manager or founder has a residence or registered office in the Republic of Croatia, or if they acquire real estate on behalf of the trust or establish a business relationship with the obligated entity referred to in Article 9 of the Act),

to enter data on natural persons acting as beneficial owners in the Beneficial Ownership Register within 30 days of their establishment.
 
Legal entities the sole founder of which is the Republic of Croatia or a unit of local and regional self-government, as well as joint-stock companies listed on the regulated securities market, are exempted from the obligation of entering data on beneficial owners.
 
Access to the Beneficial Ownership Register

The service enables the public free access to data on natural persons acting as beneficial owners of a specific legal entity that is obligated to enter its data in the Beneficial Ownership Register.
The Registry may be searched using the Croatian Personal ID Number (“OIB”) of the legal entity or the name thereof, which will result in displaying the publicly available data on the beneficial owner(s).
 
The following data on natural persons acting as beneficial owners of a specific legal entity is publicly available:

• full name
• country of residence
• month and year of birth
• citizenship and
• the nature and scope of beneficial ownership.
